Terms of Service

These Terms of Service ("Terms") govern your use of Notate, including the desktop, mobile, and web apps and the notate.md website (together, the "Service"), provided by PixelPerfect Studios LLC ("Notate," "we," "us," or "our"). By using the Service, you agree to these Terms.

The Service

Notate is a note-taking application built on plain markdown files. Some features, such as cross-device sync and AI, require a paid plan and an account. We may update, add, or remove features over time.

Your account

You are responsible for your account and for keeping your credentials secure. Provide accurate information when you register, and let us know promptly if you suspect unauthorized use of your account. You must be at least 13 years old to create an account.

Plans, billing, and cancellation

• The core desktop and mobile apps are free to use. Paid plans add sync, AI, and related features.
• Paid plans are billed in advance on a recurring basis (monthly or annually) through our payment provider, and renew automatically until cancelled.
• You can cancel at any time; cancellation stops future renewals and your paid features remain available through the end of the current billing period.
• Optional AI credit packs are one-time purchases that add credits to your account. Purchased credits do not expire and are used after your monthly allowance.
• If a credit pack purchase is refunded or reversed (including a chargeback), the corresponding credits are removed from your account. Your credit balance will not go below zero.
• Except where required by law, payments are non-refundable.

Your content

You own the notes and files you create with Notate. We do not claim ownership of your content. You grant us the limited rights needed to host, store, back up, sync, and process your content solely to provide the Service to you, including sending content to third-party providers for AI features you choose to use. You are responsible for your content and for having the rights to it.

Acceptable use

You agree not to use the Service to:

• Break the law or infringe others' rights.
• Store or distribute malware, or attempt to disrupt or gain unauthorized access to the Service.
• Abuse, overload, or reverse-engineer the Service, or resell it without permission.

AI features

AI features are provided to assist you and are optional. AI-generated output may be inaccurate or incomplete, and you are responsible for reviewing it before relying on it. Content processed by AI features cannot be end-to-end encrypted.

If you connect your own API key from an AI provider, requests made with that key are billed to your account with that provider and are subject to its terms. You are responsible for that account and its charges. Likewise, if you connect another program to your Notate account, such as through the MCP server or the command-line tool, you are responsible for what that program does with the access you give it.

Recordings

Notate can record audio and turn it into a transcript. Recording and privacy laws differ by location, and some require the permission of everyone taking part before a conversation is recorded. You are responsible for complying with the laws that apply to you and to the other participants, including obtaining any consent that is required. Notate does not obtain that consent on your behalf.

AI usage is measured in credits. A credit represents an amount of AI usage that depends on the cost of the underlying AI models, and we may change that amount as those costs change. Any such change applies to usage going forward and does not reduce the credits already granted to or purchased by you.

Intellectual property

The Service itself, including its software, design, and trademarks, belongs to PixelPerfect Studios LLC and its licensors. These Terms do not grant you any rights to our brand or software except the right to use the Service as permitted.

Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. Because your notes are plain files, you can keep your local copies regardless.

Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

Limitation of liability

To the fullest extent permitted by law, PixelPerfect Studios LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data or profits, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the claim.

Indemnification

You agree to indemnify and hold PixelPerfect Studios LLC harmless from claims arising out of your content or your misuse of the Service.

Governing law

These Terms are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Illinois will have exclusive jurisdiction over any dispute arising from these Terms or the Service.

Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above, and your continued use of the Service means you accept the updated Terms.
